TERMS & CONDITIONS

General Terms and Conditions for all services provided by Litzki Systems LLC. B2B-exclusive. Last updated: March 31, 2026.

01 // SCOPE & B2B EXCLUSIVITY

The services and offers of Litzki Systems LLC ("Provider") are exclusively directed at entrepreneurs, businesses, corporate entities, and public institutions (B2B). Contracting with consumers (private individuals) is strictly prohibited.

These Terms and Conditions apply to all contracts, deliveries, and services between the Provider and its clients. Differing or supplementary terms from the client are not accepted unless explicitly agreed upon in writing prior to contract execution.

02 // SCOPE OF SERVICES

Litzki Systems LLC provides a hybrid model of architectural consulting and digital asset provisioning. The specific scope of services — including but not limited to SOVP Full Audit, ZWAP validation, Diagnostic Sprint, and Protocol implementation — is defined in individual service agreements or confirmed order documentation.

All scan results, reports, and certificates are delivered digitally. Delivery timelines are specified per service tier and begin upon confirmed receipt of payment.

03 // AUDIT WORKFLOW

After payment confirmation, the client gains access to the SOVP Audit Dashboard. The audit is executed in two sequential steps, both initiated by the client:

Step 1 — Prime Entity Analysis: The client enters the target domain URL (including https:// and www. where applicable) and initiates the Prime Entity Status check. The system performs a headless DOM discovery, extracts infrastructure signals across up to 28 segments, and classifies the domain's entity type. This step must be completed and reviewed before the main scan can begin.

Step 2 — Sovereign Validation: After reviewing the Prime Entity result, the client initiates the full forensic scan via the Initiate Sovereign Validation button. The scan runs across 180+ deterministic parameters and takes approximately 10 minutes to complete. The client receives notification once the report is available in the Sovereign Vault.

The client is responsible for entering the correct target URL. Scans executed against incorrect or unintended domains due to client input error are non-refundable.

04 // SCAN AUTHORIZATION & DOMAIN OWNERSHIP

By completing checkout and confirming the domain scan authorization, the client declares that they hold the right to authorize an infrastructure scan of the submitted domain. This includes domain owners, authorized technical representatives, and contracted parties with explicit written authorization from the domain owner.

Litzki Systems LLC does not encourage or endorse the scanning of competitor domains or domains for which the client has no authorization. As SOVP scans operate exclusively on publicly accessible infrastructure signals, the Provider cannot technically prevent such use. Full legal responsibility for scan authorization rests with the client.

Any use of the scan service for unauthorized intelligence gathering, competitive espionage, or systematic scraping of third-party infrastructure is strictly prohibited and may result in immediate account termination without refund.

05 // INTELLECTUAL PROPERTY & EULA

All content, scripts, software, mathematical weighting factors, and associated frameworks — including the Sovereign Validation Protocol (SOVP) and the Zero Waste Architecture Protocol (ZWAP) — remain proprietary intellectual property of Litzki Systems LLC. The client acts solely as a licensee for the duration and scope of the agreed service.

It is strictly prohibited to reverse engineer, decompile, disassemble, reproduce, or commercially exploit any provided software, scripts, protocols, scoring models, or mathematical logic. Unauthorized extraction of source codes or weighting models constitutes grounds for immediate contract termination and legal action under applicable US intellectual property law.

06 // PAYMENT TERMS

All services are invoiced on a one-time, pre-payment basis unless otherwise specified in a written service agreement. Payment is processed via Stripe (Stripe, Inc., 354 Oyster Point Blvd, South San Francisco, CA 94080, USA). The billing address is collected at checkout. Clients in the EU/DACH region are required to provide their VAT identification number at checkout for correct tax treatment under the reverse-charge mechanism.

No subscription or recurring billing is initiated without explicit written consent. The client is responsible for any applicable local taxes beyond the reverse-charge scope. Services are activated upon confirmed payment receipt.

07 // LIABILITY DISCLAIMER

Litzki Systems LLC builds deterministic validation architectures optimized for AI systems and search infrastructure. However, the Provider assumes no liability for the continuous stability of third-party algorithm outputs, rankings, indexing behavior, or changes introduced by third-party platforms (including but not limited to Google, OpenAI, Anthropic, Perplexity).

The Provider is liable solely for damages resulting from gross negligence or intentional misconduct. Liability for indirect damages, loss of profits, or data loss is excluded to the maximum extent permitted by applicable law.

08 // CONFIDENTIALITY & NON-CIRCUMVENTION

The client commits to absolute confidentiality regarding all provided architectures, methodologies, scoring logic, and technical documentation. During the contract term and for a period of 24 months thereafter, the client agrees not to initiate direct business relationships with technical sources, validation partners, or research institutions disclosed by the Provider in order to circumvent the Provider.

09 // GOVERNING LAW & SEVERABILITY

These Terms and Conditions are governed exclusively by the laws of the State of Florida, USA. Jurisdiction for all disputes is the State of Florida, USA.

Should individual provisions of these terms be or become invalid, the validity of the remaining provisions remains unaffected. The invalid provision shall be replaced by a valid provision that most closely reflects the economic intent of the original.
